Terms & Conditions

These Terms govern your access to and use of Smart Bank Import for Dolibarr (the “Service”).

1) Who we are

Smart Bank Import provides Financial Automation for Dolibarr. Contact: contact@simple-soft.eu • +33 (0) 1 89 16 44 43.

2) Scope & eligibility

  • The Service connects to European banks/payment providers and syncs transactions into Dolibarr to assist with reconciliation and automation.
  • Intended primarily for business users (B2B). If you are a consumer, statutory EU consumer rights may apply in addition to these Terms.
  • You must have a valid Dolibarr instance and authority to connect accounts.

3) Free trial & subscription

  • Free trial: 15 days with full features.
  • Pricing: Monthly €6.90 billed monthly, or €5.90 per month billed annually (€70.80/year). Taxes (e.g., VAT) may apply.
  • Auto-renewal: Subscriptions renew on each billing period until you cancel from your account dashboard.
  • Invoices: We issue electronic invoices for each charge with VAT where applicable.

4) Payments

  • We process payments via secure providers (e.g., Stripe).
  • You authorize recurring charges for your chosen plan. Failed payments may result in suspension.
  • Currency is EUR unless stated otherwise.

5) Cancellation & refunds

  • You can cancel at any time; access continues until the end of the paid period.
  • Trials are free; once charged, fees are generally non-refundable for the current term, except where mandatory law provides otherwise.
  • Consumers: where applicable, the EU 14-day right of withdrawal may not apply after full performance starts during the withdrawal period with your consent; the free trial is designed to let you evaluate before purchase.

6) Bank connections & PSD2

  • The Service may use licensed open-banking providers to access account information via secure APIs under PSD2/EEA frameworks.
  • You grant us and our providers permission to retrieve account data solely to provide the Service, per your configuration.
  • You remain responsible for your banking credentials and two-factor approvals.

7) Data protection (GDPR)

  • We process personal data as described in our Privacy Policy and, where applicable, under a Data Processing Agreement (DPA) with customers acting as controllers.
  • We implement appropriate technical and organizational measures (encryption in transit, access controls, logging).
  • You must obtain necessary consents and ensure lawful basis to process any personal data you import.

8) Service availability & support

  • We aim for high availability but do not guarantee uninterrupted service. Maintenance windows and upstream outages may occur.
  • Support is provided during business hours (CET/CEST) via email; enhanced support tiers may be available on request.

9) Acceptable use

  • No unlawful, infringing, or harmful activities; no attempting to bypass security or rate limits.
  • No misuse of bank connections or data scraping beyond intended functionality.

10) Intellectual property

  • The Service, documentation, and all related materials are owned by us or our licensors.
  • “Dolibarr” is a third-party product and trademark; we are not affiliated with or endorsed by the Dolibarr Foundation.
  • Bank names and logos belong to their respective owners.

11) Third-party services

Integrations (e.g., Dolibarr modules, open-banking connectors) are subject to their own terms. We are not responsible for third-party services or changes they make.

12) Warranties & liability

  • The Service is provided “as is” and “as available.” We disclaim warranties to the maximum extent permitted by law.
  • To the extent permitted, our total liability for all claims in any 12-month period is capped at the fees paid for the Service in that period; we are not liable for indirect or consequential losses.

13) Indemnity

You agree to indemnify us against third-party claims arising from your unlawful use of the Service or breach of these Terms.

14) Suspension & termination

We may suspend or terminate access for material breaches, unlawful activity, or risks to the Service. We will notify you where legally required.

15) Changes to the Service & Terms

We may update features and these Terms to reflect improvements, legal, or regulatory changes. We will post the effective date and, for material changes, provide notice in advance where feasible. Continued use after the effective date constitutes acceptance.

16) Governing law & venue

These Terms are governed by the laws of France, without regard to conflict of laws. Exclusive jurisdiction: courts of Paris, France, unless mandatory consumer rules specify otherwise.
